Financial Year End
Financial Year is an important consideration for your company. Typically you chose the last day of the month previous to incorporation e.g. If your company is incorporated on 9th Jun, you can choose 31st May as the financial year end. This helps to maximise the first year to the extent possible. This helps with tax optimisation. However you can chose preferred year ends e.g. 31st Dec or 30 Jun or 31 Mar if this is preferable or helps to align with your other companies or taxes in other countries. Please note that the first financial period cannot be more than 18 month, so based on the year end selected, this rule will be enforced.

SHARE CAPITAL DETAILS

Paid-up capital (also known as share capital) is the total amount of capital that has been funded by owners or shareholders who have completely paid for their purchased shares.

The minimum paid-up capital for registration of a Singapore company is $1 which may be in any currency desired. After successful registration of the SingCo, you can open a corporate bank account in any of the major banks in Singapore. Once the SingCo’s bank account is open, whatever paid-up capital amount you list, will need to be deposited into the SingCo's bank account.

So how many should I issue? A common practice is to issue share capital which is easily divisible in the future (for example it may be best to issue 50 or 100 shares upon incorporation). By doing so this will allow you to more comfortably split / change the ownership of shares going forward. Many businesses tend to issue 100 shares of S$1 each. As so, each share represents 1% of the business.

Are you a startup with sight to be the next unicorn - save you the hassle and tell you the best answer: 10 million. Why? Because that’s what everyone else does. Beyond that simple reason, 10 million is an easily divisble number. It’s a big enough number that when you give an employee 10,000 stock options, it psychologically feels like a lot (even though it’s only 0.1% of the company). It’s also a convenient number for dealing with the price per share — if your company has a $10 million valuation, each share would be worth $1. But more than anything, authorize 10 million shares because that’s the norm for startups.
